1. Acceptance and eligibility
This End User License Agreement (the “EULA”) is between you and Gunnar BioTechnology LLC (“Gunnar BioTech,” “we,” “us,” or “our”), a Florida limited liability company. It governs the Fluxion desktop application, documentation, and updates we provide (collectively, “Fluxion”).
By selecting the agreement checkbox and clicking “Accept and Continue” in Fluxion, you confirm that you have read and agree to this EULA. If you do not agree, select “Decline and Exit” and do not use Fluxion.
You must be at least 13 years old to use Fluxion. If you are under 18, you must have permission from a parent or legal guardian. If you use Fluxion for an organization, you represent that you have authority to accept this EULA for your use on the organization’s behalf.
2. License grant
Subject to payment, a valid license, and compliance with this EULA, Gunnar BioTech grants the licensed user a limited, non-exclusive, perpetual, non-transferable, revocable license to install and use Fluxion on up to two personal devices under that user’s control. “Perpetual” means the license has no subscription renewal or preset expiration date; it remains subject to technical compatibility, activation requirements, refunds, and termination under this EULA.
The license is for one individual user. A parent or legal guardian may purchase for and authorize one user age 13 through 17. An organization may designate one individual user for each single-user license it purchases.
3. Activation and validation
Fluxion requires a valid license key and may communicate with Gunnar BioTech’s licensing service to activate or validate the license, enforce the two-device limit, prevent fraud, and record the legal-document version accepted on an activated device. You may not share a license key or use another person’s key. Some functions, including activation, online validation, updates, downloads, and report submission, require internet access.
4. Restrictions
Except where applicable law expressly permits an activity despite this restriction, you may not:
- copy Fluxion except for installation and a reasonable backup;
- distribute, publish, rent, lease, lend, sublicense, sell, assign, or transfer Fluxion or a license key;
- share a single-user license among multiple users;
- reverse engineer, decompile, disassemble, translate, or attempt to discover source code or non-public algorithms;
- modify or create derivative works from Fluxion;
- bypass activation, device, licensing, security, or access controls;
- remove proprietary notices;
- use Fluxion to provide unauthorized hosted or time-sharing access; or
- use Fluxion unlawfully or to infringe another person’s rights.
5. Ownership
Fluxion is licensed, not sold. Gunnar BioTech and its licensors retain all ownership and intellectual-property rights in Fluxion, including its source code, design, documentation, trademarks, and all copies and derivative works. No rights are granted except those expressly stated in this EULA.
6. User materials and sensitive information
You retain ownership of files, settings, notes, and other material you create or import. You are responsible for those materials, lawful use, backups, and determining whether Fluxion is suitable for them.
Do not place patient records, protected health information, government identification numbers, account passwords, or other highly sensitive information in support requests, bug reports, crash reports, screenshots, simulation notes, or other submissions. Fluxion is not designed as a HIPAA-regulated patient-record service.
7. Educational and research use; no medical use
Fluxion is educational, visualization, and research software. It is not a medical device, diagnostic service, clinical decision-support system, laboratory instrument control system, or substitute for professional medical, scientific, engineering, or safety judgment. Do not use Fluxion to diagnose, treat, cure, prevent, or make decisions about disease, patient care, or other safety-critical matters. Independently review outputs and assumptions before relying on them.
8. Updates, compatibility, and support
We may offer maintenance releases, improvements, compatibility updates, documentation, or support, but do not promise any particular feature, update, response time, or compatibility with future hardware, operating systems, third-party software, or file formats. We do not promise updates or support indefinitely. A future product or major version may require a separate license or fee. Updates we provide remain subject to this EULA unless accompanied by different terms.
9. Third-party components
Fluxion may include third-party or open-source components governed by their own license notices. Those notices control the applicable components to the extent required by their terms. Nothing in this EULA limits rights granted under an applicable open-source license.
10. Privacy
Our Privacy Notice explains how Fluxion and the licensing service collect, use, disclose, and retain information. By using network-enabled features, you acknowledge the data practices described there. Optional bug and crash reporting remains subject to the choices shown when you submit a report.
11. Refunds and termination
The Refund Policy applies to eligible purchases. A full refund deactivates the associated license, after which you must stop using and uninstall all copies provided under it.
This EULA terminates automatically if you materially breach it and do not cure a curable breach after reasonable notice, or immediately where the breach cannot reasonably be cured, involves fraud, unlawful distribution, or circumvention of licensing or security controls. Upon termination, you must stop using and uninstall Fluxion. Sections intended by their nature to survive—including ownership, disclaimers, liability limits, governing law, and accrued payment obligations—continue after termination. Non-waivable legal rights remain unaffected.
12. Disclaimer of warranties
To the fullest extent permitted by law, Fluxion and related services are provided “as is” and “as available.” Gunnar BioTech disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that Fluxion will be uninterrupted, error-free, completely secure, compatible with every system, or produce accurate or suitable results. Where a warranty cannot lawfully be excluded, this disclaimer applies only to the maximum extent permitted.
13. Limitation of liability
To the fullest extent permitted by law, Gunnar BioTech and its members, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, data, research, opportunities, or business interruption, arising from or related to Fluxion, even if advised that such damages were possible.
To the fullest extent permitted by law, our total liability arising from or related to Fluxion will not exceed the amount paid to us for the license associated with the claim. These limitations do not apply to liability that cannot lawfully be excluded or limited.
14. Governing law and courts
Florida law governs this EULA, without regard to conflict-of-law principles. Any lawsuit arising from or related to this EULA or Fluxion must be brought in a state or federal court with jurisdiction in Hillsborough County, Florida, and each party consents to those courts. This does not prevent an eligible individual small-claims action or the exercise of a non-waivable legal right.
This EULA does not require mandatory arbitration.
15. Changes, severability, and complete agreement
The version you accept governs until you accept a later version. We may require acceptance of a revised EULA before providing a future update or continued use of network-enabled services, but will identify the new version and present it for review. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder will continue in effect. Failure to enforce a provision is not a waiver.
This EULA, the Terms of Sale, Refund Policy, Privacy Notice, and any product or third-party notices that expressly apply form the complete agreement concerning Fluxion, except for a separate written agreement signed by Gunnar BioTech.
